Deal Workspace · Project Dune
The Deal Workspace hero for an illustrative industrial deal at bind
Project Dune at Bind (illustrative). $520M EV, $50M asked over $2.6M, quotes from $860K to $1.55M.

The quote was selected two weeks ago. The binder arrives the night before signing. It looks right — same insurer, same limit, same premium. It is not: the retention that drops after twelve months is missing, and an exclusion nobody negotiated has appeared.

This is the most avoidable error in a transaction placement, and one of the costliest: a binder accepted as-is becomes the policy. Project Dune (illustrative) is a $520 million industrial deal with $50 million of cover over $2.6 million. This post follows it through bind. Every name and figure is fictional.

How the check works

The binder agent compares what was agreed with what was issued, field by field: insurer, limit, retention, retention after drop-down, premium, exclusions, enhancements and conditions. When a policy follows a binder, the policy is checked against the binder, not the quote. Each field is a match, a difference, missing or added, with a severity.

Step by step

Project Dune at bind Illustrative.
1
Environmental exclusion expectedExclusion agentEarlier

Schedule 3.16 discloses historic soil contamination at the Akron plant; the Phase I quantifies remediation at $3.5M. Both quotes exclude it; that was predicted at submission.

2
Quote selectedDeal brokerEarlier

Meridian’s $50M was selected over Northwind’s $25M, which is below the ask and adds a product recall exclusion.

3
Binder enteredBrokerDay 0

The binder from Meridian is entered against the selected quote.

4
Binder checkedBinder agentDay 0

Two differences. Retention after drop-down: agreed $1.3M, the document says nothing. Product recall: in the document, never agreed. The agent reasons over the two differences and prepares “send it back” at 85% confidence.

5
Authority referSupervisor agentDay 0

$50M is above the broker’s $15M authority; BIND_ABOVE_AUTHORITY refers and a sign-off brief is prepared. The deal cannot reach post-close until a practice leader signs.

6
Sent backDeal brokerDay 0

Accepting the binder agent’s decision records the send-back (a dry run outside production) and leaves the binder unaccepted.

7
Corrected binderInsurerDay 2

The corrected binder arrives; Analyze re-checks it. Every field matches; the agent now prepares “accept as checked”.

8
Signed offPractice leaderDay 2

Signs off the bind with a note. The decision record carries both answers.

On the deal desk

The binder check is the work nobody has time for the night before signing. Here it is done before the broker opens the email.

For IT and architecture

The check is insight_broker.check, deterministic and field-level; the model only words the request to the insurer.

For practice leaders

An unchecked binder is an E&O exposure. Every bind here carries a check and a signed answer.

Questions we get asked

Can the agent accept a binder by itself?

No. Accepting a binder is capped at ask-first whatever the dial says.
